Terms and Conditions of Service
1. Introduction & Agreement
These Terms and Conditions outline how I work with clients to deliver professional, strategic and operational support services. By engaging my services, you agree to these terms, which form the basis of our working relationship.
2. Services
The scope of services will be set out in your Letter of Engagement. Any changes or additions will be agreed in writing. Services may include strategic business support, operational planning, event coordination, or other related activities as mutually agreed.
3. Fees & Payment
All services are invoiced in advance and payable by BACS within 7 days of the invoice date. No VAT is charged at this time. Expenses are included within the invoice unless otherwise agreed. Late payments may result in a temporary pause of services.
4. Notice & Cancellation
Either party may end the agreement by giving one month’s written notice. Any prepaid fees covering periods beyond the notice will be refunded. In exceptional circumstances, either party may terminate immediately if there is a material breach of these terms.
5. Confidentiality
All information shared between us during the course of our work is treated as strictly confidential. I may sign a separate Non‑Disclosure Agreement if required. Client materials, conversations, and data will not be disclosed to third parties without prior consent.
6. Intellectual Property
You will own all documents, materials, and deliverables created specifically for you as part of our engagement. Any templates, systems, or frameworks that I have developed prior to our engagement remain my intellectual property, but you are granted a licence to use them for your business.
7. Data Protection
I comply with the UK General Data Protection Regulation (GDPR). I act as a Data Processor only for any personal data you share that is necessary to perform the agreed services. All personal data is handled securely and only retained for as long as needed to fulfil our agreement.
8. Liability
I hold professional indemnity insurance up to £1 million. While I take great care in my work, I cannot accept responsibility for indirect or consequential losses. My total liability is limited to the total amount paid for the related services.
9. Working Hours & Communication
My standard working hours are Monday to Friday, 9am–5pm (UK time). I aim to respond to all messages within one business day.
10. General
These Terms and Conditions are governed by English law. This agreement does not create a partnership or employment relationship between us. Both parties agree to act in good faith and attempt to resolve any disputes amicably before taking formal action.
